TERMS OF SERVICE

Welcome to WebKitchenDepot. These Terms of Service ("Terms") govern your access to and use of WebKitchenDepot.com (the "Site") and your purchase of products and services from WebKitchenDepot ("WebKitchenDepot," "we," "us," or "our").

By accessing the Site, placing an order, requesting a quote, or purchasing products or services from us, you agree to these Terms. If you do not agree with these Terms, please do not use the Site or place an order.

1. ONLINE STORE TERMS

You may use this Site only for lawful purposes. You may not use our products, services, Site, or content in violation of any applicable federal, state, or local law or regulation.

You may not attempt to interfere with the operation or security of the Site, introduce malicious software, gain unauthorized access to our systems, or use the Site for fraudulent purposes.

We reserve the right to refuse service, cancel transactions, or restrict access to the Site where permitted by law.

2. PRODUCT INFORMATION

WebKitchenDepot sells commercial kitchen equipment, restaurant equipment, refrigeration equipment, replacement parts, supplies, accessories, and related products.

We make reasonable efforts to provide accurate product descriptions, specifications, dimensions, photographs, compatibility information, pricing, and availability. However, manufacturers may change product specifications, designs, packaging, components, colors, or features without notice.

Product photographs are provided for reference and may not exactly represent the product received.

Customers are responsible for reviewing product specifications before purchasing, including dimensions, voltage, phase, amperage, gas type, connection requirements, capacity, installation requirements, and compatibility.

If you are uncertain whether a product is suitable for your application, please contact us before ordering.

3. PRICING

Prices are subject to change without notice.

Although we make reasonable efforts to ensure pricing accuracy, typographical, technical, manufacturer, or system errors may occur.

If a product is listed at an incorrect price or contains materially incorrect information, WebKitchenDepot reserves the right, to the extent permitted by law, to correct the error and cancel or decline the affected order.

If payment has already been collected for an order that we cancel because of such an error, the applicable amount will be refunded.

Certain products may display a price only after being added to the shopping cart because of manufacturer pricing policies or promotional pricing.

4. ORDERS AND ORDER ACCEPTANCE

Submitting an order does not necessarily mean that WebKitchenDepot has accepted the order.

Orders may be subject to product availability, payment verification, shipping availability, manufacturer confirmation, fraud screening, and other verification.

We reserve the right to refuse or cancel an order where permitted by law, including because of:

  • Product unavailability;

  • Pricing or listing errors;

  • Suspected fraud or unauthorized transactions;

  • Shipping or delivery limitations;

  • Manufacturer restrictions; or

  • Other circumstances that prevent us from reasonably fulfilling the order.

If we cancel an order after payment has been collected, we will refund the applicable amount.

5. PAYMENT

Customers agree to provide current, complete, and accurate billing and payment information.

By submitting payment information, you represent that you are authorized to use the selected payment method and authorize us and our payment processors to charge the amounts associated with your purchase.

Applicable taxes, shipping charges, freight charges, and other disclosed charges may be added to the order.

6. SHIPPING AND DELIVERY

Shipping and delivery estimates are estimates only unless we expressly agree otherwise in writing.

Delivery times may be affected by product availability, manufacturer processing times, freight carrier schedules, weather, supply-chain disruptions, holidays, or circumstances outside WebKitchenDepot's reasonable control.

WebKitchenDepot is not responsible for delays caused by carriers, manufacturers, severe weather, natural disasters, government actions, labor disruptions, or other circumstances outside our reasonable control.

Customers are responsible for providing an accurate and accessible delivery address and appropriate contact information.

Additional carrier charges may apply for services including, where applicable:

  • Liftgate delivery;

  • Inside delivery;

  • Residential delivery;

  • Limited-access locations;

  • Redelivery;

  • Address corrections;

  • Storage;

  • Appointment delivery; or

  • Other special freight services.

Unless specifically included in the order, freight delivery generally does not include installation, unpacking, placement, assembly, removal of packaging, or removal of existing equipment.

7. FREIGHT SHIPMENTS AND DELIVERY INSPECTION

Commercial equipment may be delivered by freight carrier.

Customers or their authorized representatives should carefully inspect freight shipments at the time of delivery.

Before signing the carrier's delivery receipt, inspect the packaging and equipment for visible damage, missing items, punctures, crushed packaging, dents, or other signs of damage.

If damage or shortages are visible, note them clearly on the carrier's delivery receipt before signing and take photographs of the shipment, packaging, and damaged areas.

If severe damage is present, contact WebKitchenDepot promptly for guidance.

Failure to document visible freight damage at delivery may affect the ability to pursue a freight claim.

Concealed damage should be reported to WebKitchenDepot as soon as reasonably possible after discovery and within any applicable carrier or manufacturer claim deadline.

Customers should retain the product, packaging, pallet, and shipping materials while a freight claim is being investigated.

8. CANCELLATIONS

Orders are processed as quickly as possible. Therefore, cancellation is not guaranteed after an order has been submitted.

If you request cancellation after an order has entered processing, been ordered from a manufacturer, been prepared for shipment, or shipped, cancellation charges, manufacturer fees, restocking fees, freight charges, or other applicable costs may apply.

Custom-made, made-to-order, special-order, modified, and non-stock products may not be cancellable after production or procurement has begun.

Please contact WebKitchenDepot as soon as possible if you need to request cancellation.

9. RETURNS AND REFUNDS

Returns are governed by WebKitchenDepot's current Cancellation, Return, and Refund Policy, which is incorporated into these Terms by reference.

Return eligibility varies by product and manufacturer.

A return authorization may be required before returning a product. Products returned without authorization may be refused.

Returned merchandise generally must be unused, uninstalled, complete, and in its original packaging and resalable condition unless otherwise required by law.

Applicable manufacturer or supplier restocking fees, return shipping charges, original shipping charges, and other non-refundable costs may be deducted from a refund where permitted by the applicable return policy and law.

Certain products may be final sale or non-returnable, including custom-made, made-to-order, special-order, modified, used, installed, or otherwise designated non-returnable products.

Customers should review the Cancellation, Return, and Refund Policy before purchasing.

10. CUSTOM-MADE AND SPECIAL-ORDER PRODUCTS

WebKitchenDepot may offer custom fabrication, custom-made equipment, made-to-order products, and special-order products.

Customers are responsible for carefully reviewing and approving all applicable specifications before production, including measurements, drawings, dimensions, materials, configurations, electrical requirements, gas requirements, orientation, and other specifications.

Once a custom or special-order product has entered production or procurement, the order may not be changed, cancelled, returned, or refunded except where required by law or expressly agreed to by WebKitchenDepot in writing.

WebKitchenDepot is not responsible for problems resulting from incorrect measurements, specifications, drawings, requirements, or other information supplied or approved by the customer.

11. INSTALLATION AND PROFESSIONAL SERVICES

Unless expressly stated otherwise, products sold by WebKitchenDepot do not include installation.

Commercial kitchen and restaurant equipment may require installation by qualified or licensed professionals.

Customers are responsible for determining and complying with applicable building codes, electrical codes, plumbing requirements, gas codes, fire codes, health-department requirements, permits, inspections, ventilation requirements, and other local regulations.

WebKitchenDepot is not responsible for improper installation, unauthorized modification, improper electrical or gas connections, inadequate ventilation, misuse, or installation that does not comply with manufacturer instructions or applicable law.

12. WARRANTIES

Many products sold by WebKitchenDepot are covered by warranties provided by their respective manufacturers.

Unless expressly stated otherwise in writing, WebKitchenDepot does not independently manufacture the third-party branded products sold on the Site and does not provide additional warranties beyond those expressly offered by WebKitchenDepot or required by applicable law.

Manufacturer warranties vary by brand and product. Customers are responsible for reviewing the applicable manufacturer's warranty terms.

Warranty coverage may be affected by improper installation, misuse, unauthorized repair, failure to perform required maintenance, use outside the manufacturer's specifications, or other exclusions specified by the manufacturer.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

13. REPLACEMENT PARTS AND COMPATIBILITY

Customers purchasing replacement parts are responsible for confirming compatibility with their equipment before ordering.

Model numbers, serial numbers, dimensions, electrical specifications, and other information may be necessary to identify the correct replacement part.

A similarity in appearance does not necessarily mean that a part is compatible.

Please contact WebKitchenDepot before ordering if you are uncertain about compatibility.

14. QUOTES

Quotes provided by WebKitchenDepot may be subject to expiration dates, manufacturer price changes, freight adjustments, product availability, taxes, and other conditions stated in the quote.

Unless otherwise stated in writing, requesting or receiving a quote does not reserve inventory or guarantee pricing indefinitely.

Custom quotations are based on information supplied by the customer. Customers are responsible for reviewing the quotation and confirming that specifications meet their requirements before approving an order.

15. THIRD-PARTY PRODUCTS AND SERVICES

The Site may contain products, information, links, integrations, or services provided by third parties.

Third-party manufacturers, payment processors, shipping carriers, service providers, and websites may have their own terms and policies.

WebKitchenDepot is not responsible for the independent acts, omissions, policies, websites, or services of third parties except to the extent responsibility cannot legally be excluded.

16. INTELLECTUAL PROPERTY

Unless otherwise indicated, the Site and its original content, layout, graphics, logos, text, and other materials owned by WebKitchenDepot are protected by applicable intellectual-property laws.

Manufacturer names, trademarks, photographs, logos, and other intellectual property belong to their respective owners.

Nothing on the Site grants users ownership of WebKitchenDepot's or any third party's intellectual property.

17. PROHIBITED USES

You may not use the Site:

  • For unlawful or fraudulent purposes;

  • To violate the rights of others;

  • To transmit malicious code;

  • To attempt unauthorized access to the Site or related systems;

  • To interfere with Site security or functionality;

  • To scrape or collect information through unauthorized means;

  • To impersonate another person or organization; or

  • To engage in conduct that violates applicable law.

We may suspend or terminate access for prohibited conduct.

18. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WEBKITCHENDEPOT AND ITS OWNERS, EMPLOYEES, AGENTS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM THE USE OF THE SITE, PRODUCTS, OR SERVICES.

THIS MAY INCLUDE, WHERE PERMITTED BY LAW, LOST PROFITS, LOST REVENUE, LOSS OF BUSINESS, BUSINESS INTERRUPTION, LOSS OF DATA, OR SIMILAR DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEBKITCHENDEPOT'S AGGREGATE LIABILITY ARISING FROM A PARTICULAR PRODUCT OR TRANSACTION WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO WEBKITCHENDEPOT FOR THE PRODUCT OR TRANSACTION GIVING RISE TO THE CLAIM.

Some jurisdictions do not permit certain limitations or exclusions of liability, so some of these limitations may not apply to you.

19. INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless WebKitchenDepot and its owners, employees, agents, and affiliates from claims, losses, liabilities, and reasonable costs arising from your unlawful use of the Site, your violation of these Terms, or your violation of the rights of another person or entity.

20. PRIVACY

Your submission of personal information through the Site is governed by our Privacy Policy.

Please review WebKitchenDepot's Privacy Policy for information concerning how personal information is collected, used, and handled.

21. ERRORS, INACCURACIES, AND OMISSIONS

Occasionally, information on the Site may contain typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, shipping charges, transit times, availability, or specifications.

We reserve the right to correct errors and update information as permitted by law.

22. CHANGES TO THESE TERMS

We may update these Terms periodically.

The current version will be posted on this page with an updated "Last Updated" date. Your continued use of the Site after changes become effective constitutes acceptance of the revised Terms to the extent permitted by law.

23. SEVERABILITY

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision will be enforced to the maximum extent permitted by applicable law, and the remaining provisions will remain in effect.

24. ENTIRE AGREEMENT

These Terms, together with policies and other terms expressly incorporated by reference, constitute the agreement between you and WebKitchenDepot concerning your use of the Site and applicable purchases, except where a separate written agreement or quotation expressly provides otherwise.

25. GOVERNING LAW

These Terms and transactions with WebKitchenDepot will be governed by the laws of the state in which WebKitchenDepot's legal business entity is established, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Before publishing this section, WebKitchenDepot should insert its correct state of organization and any desired venue or dispute-resolution provisions after legal review.
